Terms of Service
These Terms of Service govern your access to and use of the Zeal AI Legal Intelligence Platform. Please read them carefully. By creating an account or using any part of our Service, you agree to be bound by these Terms.

1. Agreement
Introduction and Acceptance
These Terms of Service (the "Terms") are a legally binding agreement between you and Zeal Global Inc., a Delaware corporation ("Zeal," "we," "us," or "our"), governing your access to and use of the Zeal AI Legal Intelligence Platform, including any associated software, applications, APIs, documentation, and related services (collectively, the "Service").
By creating an account, clicking "I agree," or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and all references to "you" mean that entity.
If you do not agree to these Terms, do not access or use the Service.
These Terms apply to all users of the Service, including individuals who browse our platform, registered users, and customers who have executed a separate Order Form or Master Subscription Agreement with Zeal. In the event of a conflict between these Terms and a signed Master Subscription Agreement, the Master Subscription Agreement controls.
Not legal advice.
Zeal is a technology company, not a law firm. The Service is a software tool that assists with contract management and legal operations. Nothing produced by the Service constitutes legal advice, and no attorney-client relationship is formed through your use of the Service. For legal advice specific to your situation, consult a licensed attorney.
2. Terminology
Definitions
The following terms have the meanings assigned to them in these Terms. Other capitalized terms are defined where they first appear.
- Service
- The Zeal AI Legal Intelligence Platform, including all software, APIs, web interfaces, mobile applications, agentic workflows, and documentation made available by Zeal.
- Platform
- The underlying technical infrastructure, including servers, databases, AI models, and processing pipelines, that powers the Service.
- User
- Any individual who accesses or uses the Service, whether or not they have a registered account.
- Customer
- A company or individual that has entered into a subscription agreement with Zeal, either through these Terms or through a separately executed Order Form or Master Subscription Agreement.
- Account
- The registered account created by or on behalf of a User to access the Service.
- Authorized User
- An individual that a Customer has granted permission to access the Service under the Customer's subscription.
- Contract Data
- Contracts, agreements, documents, clauses, metadata, extracted data fields, and any other content that Customers upload, import, or otherwise submit to the Service for processing or storage.
- Customer Data
- All data, content, and information submitted to or generated within the Service by a Customer or its Authorized Users, including Contract Data.
- Agent Actions
- Automated actions taken by Zeal's agentic AI systems on behalf of a User or Customer, including but not limited to drafting documents, sending communications, flagging obligations, generating summaries, and initiating workflow steps.
- Output
- Any analysis, summary, recommendation, draft, flag, score, report, or other content generated by the Service based on processing Contract Data or other inputs.
- Legal Language Framework
- Zeal's proprietary patented framework for structuring, analyzing, and interpreting contract language, as further described in Section 6.
- Order Form
- A written order document or online checkout confirmation executed between Zeal and a Customer that specifies the Service plan, seat count, pricing, and other subscription terms.
- Subscription Term
- The period during which a Customer is licensed to use the Service, as specified in the applicable Order Form or during account signup.
- Feedback
- Suggestions, ideas, feature requests, bug reports, or other input that you voluntarily provide to Zeal about the Service.
3. Accounts
Account Registration and User Representations
To access most features of the Service, you must create an Account. When registering, you agree to provide accurate, complete, and current information. You are responsible for keeping your account information up to date.
You are responsible for maintaining the security of your account credentials, including your password and any multi-factor authentication methods. You must not share your credentials with others or permit unauthorized access to your Account. If you believe your Account has been compromised, notify us immediately at privacy@zealdocs.com.
By creating an Account, you represent and warrant that:
- You are at least 18 years of age.
- If accepting on behalf of a company, you have legal authority to bind that company to these Terms.
- Your use of the Service will comply with all applicable laws and regulations.
- You will not use the Service for any purpose that is illegal, harmful, or prohibited by these Terms.
- The information you provide during registration is accurate and not misleading.
Zeal reserves the right to refuse registration, suspend, or terminate any Account at our discretion, including if we believe registration information is inaccurate or that these Terms have been violated.
For enterprise accounts, Authorized Users access the Service under the Customer's subscription. The Customer is responsible for ensuring that all Authorized Users comply with these Terms. Violations by Authorized Users are attributable to the Customer.
4. Billing
Subscription and Payment Terms
Access to the Service requires a paid subscription. Subscription plans, pricing, and included features are described at zeal.us/pricing or in an applicable Order Form. Zeal may change its pricing with advance notice as described in Section 15.
Billing cycles. Subscriptions are billed in advance on a monthly or annual basis, as selected at signup or in the Order Form. Annual subscriptions are invoiced annually in advance and are not prorated for mid-year cancellations unless otherwise specified in the Order Form.
Payment methods. We accept major credit cards and ACH bank transfers for eligible plans. Enterprise customers may pay by wire transfer pursuant to agreed invoice terms. All fees are denominated in U.S. dollars unless otherwise stated in the Order Form.
Late payments. Amounts not paid within 30 days of the due date accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. Zeal may suspend access to the Service for accounts with overdue balances after providing at least 10 days written notice.
Taxes. Subscription fees are exclusive of applicable taxes, including sales tax, VAT, and GST. You are responsible for paying all applicable taxes. If Zeal is required to collect taxes, they will be added to your invoice.
Refunds. Except as required by law, subscription fees are non-refundable. If you believe a charge was made in error, contact privacy@zealdocs.com within 30 days of the charge.
Auto-renewal. Subscriptions automatically renew at the end of each Subscription Term unless cancelled before the renewal date. Annual subscriptions require at least 30 days written notice prior to the renewal date to cancel. Monthly subscriptions may be cancelled at any time to take effect at the end of the current billing period.
Free trials. If Zeal offers a free trial period, access is provided without charge for the stated duration. At the end of the trial, continued use of the Service requires selecting a paid plan. Zeal may terminate free trial access at any time.
5. AI Systems
AI-Specific Provisions
The Service incorporates artificial intelligence and machine learning systems to process Contract Data, generate Output, and execute Agent Actions. This section describes how those systems work, your rights with respect to them, and the limitations that apply.
5.1 How Zeal's AI Processes Contract Data
When you submit Contract Data to the Service, the Platform processes it using a combination of Zeal's proprietary Legal Language Framework and large language models. The AI system extracts structured information, identifies legal concepts and obligations, flags risks, generates summaries, and performs other analytical tasks depending on your configuration.
Processing occurs in isolated, per-tenant contexts. Contract Data from your account is never combined with Contract Data from another customer's account within the same inference or analysis operation. Each processing session is scoped to your organization's data only.
5.2 Data Ownership
Your contract data is yours.
Zeal does not claim ownership of your Contract Data. All Contract Data remains the property of the Customer. Zeal's right to process your Contract Data is limited to what is necessary to provide the Service, as further described in Section 8.
Zeal does not use Customer Data, including Contract Data, to train, fine-tune, evaluate, or otherwise improve shared AI models. Your contracts are not used as training data for any model that serves other customers. This commitment is reflected in Zeal's Data Processing Addendum, which is available to enterprise customers.
Zeal does use aggregated, de-identified statistical data about platform usage (such as feature usage rates or system performance metrics) to improve the Service. This data contains no Contract Data content.
5.3 Agentic System Actions
Certain Service plans include access to Zeal's agentic AI capabilities. These features allow the Platform to take automated actions on your behalf, including:
- Drafting and generating contract documents, summaries, or clause libraries based on your instructions.
- Sending notifications, alerts, or reminders to designated internal or external recipients.
- Flagging obligations, deadlines, and renewal dates and escalating them through your configured workflows.
- Generating recommendations about contract risk, negotiation positions, or obligation management.
- Initiating workflow steps, approvals, or integrations with connected third-party systems.
Scope of autonomous actions. The scope of Agent Actions is defined by the configuration you set within the Service. Zeal's agents operate within the permissions, workflows, and guardrails you establish. Zeal does not expand or modify agent permissions without your instruction.
Your oversight responsibility. You are responsible for configuring, monitoring, and supervising Agent Actions. Zeal's AI agents are tools that act in response to your instructions and configurations. You retain responsibility for any actions taken on your behalf by the Platform, including external communications sent, documents generated, or workflows initiated. Before enabling agent capabilities, review the configured scope of actions and ensure they align with your internal policies and any obligations you have to third parties.
External communications. If you configure the Service to send communications to counterparties, vendors, or other third parties on your behalf, you represent that you have the authority to do so and that those communications comply with applicable law, including laws governing commercial communications and contract formation. Zeal is not responsible for the legal effect of communications sent by the Platform at your direction.
5.4 AI Output Accuracy
AI-generated Output is assistive, not authoritative. The Service is designed to help legal and business professionals work faster and more consistently. It is not a replacement for professional legal judgment, and nothing in the Output constitutes legal advice.
AI-generated Output may contain errors, omissions, or inaccuracies. The accuracy of Output depends on the quality and completeness of the Contract Data submitted, the specific task configured, and the inherent limitations of current AI technology. You should review all Output before relying on it for decisions, and where legal interpretation is involved, consult qualified legal counsel.
Zeal does not warrant that Output is complete, accurate, legally correct, or fit for any particular purpose. Reliance on Output without independent review is at your own risk.
5.5 Model Updates
Zeal continuously updates and improves the AI models and systems that power the Service. Model updates may change the nature, style, format, or content of Output generated by the Platform. Zeal does not guarantee that Output will remain consistent across model versions.
For enterprise customers with stability requirements, Zeal may offer model version pinning on a contractual basis. Contact your account representative for details. Outside of a pinned version agreement, Zeal may update underlying models without prior notice, though we will communicate material changes through the Service or by email to account administrators where feasible.
6. Ownership
Intellectual Property
Zeal's IP. The Service, the Platform, and all underlying technology are owned by Zeal Global Inc. This includes the Legal Language Framework (patent pending / patented, as applicable), all software code, algorithms, AI models, training methodologies, user interfaces, visual design, trademarks, logos, and documentation. Nothing in these Terms grants you any ownership interest in Zeal's intellectual property.
Legal Language Framework. Zeal's Legal Language Framework is a proprietary system for parsing, structuring, and analyzing commercial contract language. It is protected by U.S. patent law and may be protected by additional patents in other jurisdictions. You may not reverse engineer, decompile, or attempt to replicate the Legal Language Framework through any means, including through the use of Output generated by the Service.
License to use the Service. Subject to your compliance with these Terms and payment of applicable fees, Zeal grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service during the Subscription Term for your internal business purposes.
Ownership of Output. Output generated by the Service based on your Contract Data is owned by you, subject to the following: (a) Zeal retains all rights in the underlying system and models that produce the Output; (b) Output may not be used to train competing AI systems; and (c) Output is provided for your use, not for redistribution as a standalone product.
Customer Data license to Zeal. You grant Zeal a limited, non-exclusive license to access, process, and store your Customer Data solely to provide the Service to you and as otherwise described in Section 8 and our Privacy Policy. This license does not extend to using Customer Data for training shared models.
Feedback. If you provide Feedback, you grant Zeal an irrevocable, royalty-free, worldwide license to use and incorporate that Feedback into the Service without any obligation to you. Feedback does not include Customer Data.
Restrictions. You may not: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer or attempt to extract the source code or underlying models of the Service; (c) sublicense, sell, resell, or transfer your access to the Service to any third party; (d) use the Service to build a competing product; or (e) remove or obscure any copyright, trademark, or other proprietary notices.
7. Conduct
Prohibited Activities
You may use the Service only for lawful purposes and in compliance with these Terms. The following activities are prohibited:
General prohibitions:
- Using the Service to engage in any activity that violates applicable law or regulation.
- Submitting content that infringes third-party intellectual property rights.
- Using the Service to harass, abuse, or harm individuals.
- Attempting to access areas of the Service you are not authorized to access.
- Sharing your account credentials or providing access to the Service to users outside your authorized subscription.
- Scraping or bulk-downloading content from the Service using automated tools.
- Using the Service to transmit spam, phishing content, or other unsolicited communications.
AI-specific prohibitions:
- Prompt injection: submitting inputs designed to override, bypass, or manipulate the AI system's instructions, safety controls, or intended behavior.
- Adversarial AI use: using the Service in a manner designed to degrade, exploit, or weaponize AI outputs against Zeal, other users, or third parties.
- Extraction attacks: attempting to extract, reconstruct, or infer Zeal's proprietary model weights, training data, system prompts, or the mechanics of the Legal Language Framework through repeated queries or other techniques.
- Model inversion: submitting inputs designed to cause the AI to reveal confidential information from other users' data.
- Jailbreaking: attempting to cause the AI system to produce outputs that violate these Terms, applicable law, or Zeal's published use policies.
- Using Output to train AI systems that compete with Zeal.
- Submitting synthetic or fabricated contract data designed to manipulate benchmark results or Output quality metrics.
System integrity prohibitions:
- Interfering with or disrupting the Service, its servers, or connected networks.
- Introducing malicious code, viruses, or other harmful materials.
- Circumventing rate limits, security controls, or access restrictions.
- Conducting penetration testing or security research on the Service without Zeal's prior written authorization.
Zeal may investigate suspected violations and may suspend or terminate access to the Service, without notice, for material violations. Zeal reserves the right to report unlawful conduct to appropriate authorities.
8. Data
Customer Data and Privacy
Your data, your responsibility. You are responsible for the Customer Data you submit to the Service. You represent that you have all necessary rights, permissions, and consents to submit Customer Data to the Service and to authorize Zeal to process it as described here.
How Zeal uses Customer Data. Zeal processes Customer Data solely to: (a) provide and operate the Service; (b) respond to support requests; (c) comply with legal obligations; and (d) enforce these Terms. Zeal does not sell Customer Data to third parties or use it for advertising.
No training use. As stated in Section 5.2, Zeal does not use Contract Data or other Customer Data to train shared AI models. This restriction applies to Zeal and to its AI sub-processors under Zeal's contractual arrangements with them.
Data retention. Zeal retains Customer Data for the duration of the Subscription Term and for up to 90 days thereafter to allow for account recovery or data export. Following that period, Customer Data is deleted unless otherwise required by law or agreed in the Order Form. Enterprise customers may configure custom retention windows.
Security. Zeal implements technical and organizational security measures appropriate to the nature of the data. See Zeal's Security page for details, including SOC 2 Type II and ISO 27001 certifications.
Privacy Policy. The collection and use of personal information is governed by Zeal's Privacy Policy, which is incorporated by reference into these Terms. By using the Service, you also agree to the Privacy Policy.
Data Processing Addendum. Enterprise customers who require a Data Processing Addendum (DPA) to satisfy GDPR, CCPA, or other data protection law obligations may request one from privacy@zealdocs.com. The DPA forms a part of the agreement between Zeal and that customer.
Data export and portability. You may export your Customer Data from the Service at any time using the export tools provided in the platform. Upon termination, Zeal will provide a reasonable opportunity to export your data before deletion.
9. Integrations
Third-Party Integrations
The Service supports integrations with third-party products and services, including document management systems, e-signature platforms, CRM systems, ERP systems, and communication tools (collectively, "Third-Party Services"). These integrations are provided for your convenience and require your configuration and authorization.
Third-Party Services are not operated by Zeal. When you connect the Service to a Third-Party Service, you agree to the terms and privacy policies of that third party. Zeal is not responsible for the functionality, security, availability, or data practices of Third-Party Services. Your use of Third-Party Services is at your own risk.
When you authorize an integration, you may be sharing Customer Data with the Third-Party Service. You are responsible for understanding what data is shared and ensuring that sharing complies with your obligations to third parties and applicable data protection law.
Zeal may add, modify, or discontinue supported integrations at any time. Zeal will provide reasonable notice of material changes to integrations that affect existing configurations where feasible.
Zeal's AI sub-processors, including large language model providers used in the Platform, are disclosed in the Data Processing Addendum. These providers operate under data processing agreements with Zeal that include commitments regarding confidentiality, data retention, and prohibition on training use.
10. Disclaimers
Warranties and Disclaimers
Zeal warrants that the Service will perform materially in accordance with applicable documentation during the Subscription Term. If the Service materially fails to meet this warranty, your exclusive remedy is for Zeal to use commercially reasonable efforts to correct the failure, and if correction is not feasible within a reasonable period, to provide a pro-rated refund for the affected period.
EXCEPT FOR THE EXPRESS WARRANTY IN THIS SECTION AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." ZEAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OF OUTPUT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. ZEAL DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT DEFECTS WILL BE CORRECTED.
Specific disclaimers include but are not limited to:
- AI-generated Output is not legal advice and may contain errors. Zeal makes no warranty as to the accuracy, completeness, or legal correctness of any Output.
- Agent Actions are performed based on your configuration. Zeal does not warrant that Agent Actions will achieve any particular legal or business outcome.
- The Service may be subject to interruptions for maintenance, updates, or circumstances beyond Zeal's control. Zeal does not warrant uninterrupted availability.
- Third-Party Services integrated with the Service are subject to the warranties (or lack thereof) of those third parties. Zeal makes no representations about Third-Party Services.
11. Liability Cap
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ZEAL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ZEAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ZEAL'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO ZEAL IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
These limitations apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, Zeal's liability is limited to the greatest extent permitted by law.
The allocation of risk in these Terms is a fundamental element of the basis of the bargain between Zeal and you. The Service would not be provided without these limitations.
12. Indemnification
Indemnification
You agree to indemnify, defend, and hold harmless Zeal Global Inc. and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Service in violation of these Terms.
- Customer Data you submit to the Service, including any claims that such data infringes or misappropriates third-party rights.
- Agent Actions taken on your behalf based on your configuration or instructions.
- Communications sent to third parties through the Service at your direction.
- Your violation of applicable law or regulation.
- Any misrepresentation you make in connection with these Terms.
Zeal will promptly notify you of any claim subject to indemnification, cooperate reasonably in the defense, and give you control of the defense and settlement, provided that (a) you may not settle any claim that imposes liability or obligations on Zeal without Zeal's prior written consent, and (b) Zeal may participate in the defense with counsel of its own choosing at its own expense.
Zeal agrees to indemnify you against third-party claims that the Service, as provided by Zeal and used in accordance with these Terms, infringes a valid U.S. patent, copyright, or trademark. This obligation does not apply to claims arising from your modification of the Service, combination with third-party products, use outside the scope of these Terms, or use of a version of the Service after Zeal has provided an update that resolves the claimed infringement.
13. Arbitration
Dispute Resolution
Please read this section carefully. It affects your legal rights, including your right to go to court.
Informal resolution first. Before initiating any formal legal proceeding, the party asserting a claim must provide the other party 30 days written notice describing the nature and basis of the claim and the relief sought. The parties will attempt to resolve the dispute in good faith during that period. This requirement does not apply to requests for injunctive or equitable relief for intellectual property violations.
Binding arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in New York, New York, or remotely if the parties agree. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class action waiver. You and Zeal agree that claims will be brought only in an individual capacity and not as a class or collective action. You waive any right to participate in a class action lawsuit or class-wide arbitration. If a court determines that this waiver is unenforceable, then the arbitration provision will not apply to that dispute.
Governing law. These Terms and any dispute arising hereunder are governed by the laws of the State of New York, without regard to its conflict-of-law provisions. To the extent any dispute proceeds in court, you and Zeal consent to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
Opt-out right. You may opt out of the arbitration and class action waiver provisions by sending written notice to privacy@zealdocs.com within 30 days of first accepting these Terms. Your notice must include your name, account email address, and a clear statement that you are opting out of arbitration. Opting out does not affect any other provision of these Terms.
Statute of limitations. Any claim arising out of or related to these Terms must be brought within one year of when the claim arose. Claims not brought within this period are permanently barred.
14. Term
Term and Termination
These Terms are effective when you first accept them and continue until your subscription is terminated or expires.
Termination by you. You may cancel your subscription at any time through your account settings or by contacting Zeal. Cancellation takes effect at the end of your current billing period. You will not receive a refund for the unused portion of a prepaid term unless required by applicable law.
Termination by Zeal. Zeal may terminate or suspend your access to the Service: (a) for material breach of these Terms that is not cured within 15 days of notice (or immediately for breaches that cannot be cured); (b) for non-payment; (c) if required by law; or (d) if Zeal determines continued access poses a risk to the security, integrity, or operation of the Service or to other customers. Zeal will provide written notice where required by law or commercially practicable.
Effect of termination. Upon termination, your right to access the Service immediately ceases. Zeal will retain your Customer Data for 90 days following termination to allow export, after which it will be deleted in accordance with Section 8. Sections that by their nature should survive termination will survive, including Sections 6, 7, 10, 11, 12, 13, and 17.
15. Changes
Modifications to Terms
Zeal may modify these Terms at any time. When we make material changes, we will provide notice by email to your account's primary email address, by posting a prominent notice within the Service, or both, at least 30 days before the changes take effect.
For changes required by law or related to new features, shorter notice may apply. Zeal will identify the effective date of any changes at the top of the Terms.
Your continued use of the Service after the effective date of modified Terms constitutes your acceptance of those changes. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription before the effective date.
If Zeal materially changes Terms in a way that is adverse to you and you are on an annual subscription, you may terminate your subscription and receive a pro-rated refund for the unused portion of your term by notifying Zeal within 15 days of receiving notice of the change.
16. Communications
Electronic Communications Consent
By creating an Account and using the Service, you consent to receive electronic communications from Zeal, including:
- Notices about your account, subscription, billing, and payment.
- Updates about the Service, including changes to these Terms or the Privacy Policy.
- Security notifications, including alerts about suspicious activity on your account.
- Product announcements, feature releases, and educational content.
You may opt out of non-essential marketing communications by following the unsubscribe link in any such email or by updating your notification preferences in account settings. You may not opt out of transactional and administrative communications related to your account and subscription.
Electronic notices from Zeal are effective when sent to the email address associated with your account. You are responsible for keeping your contact information current. Notices from you to Zeal are effective when received at privacy@zealdocs.com or at the physical address listed in Section 18, and only upon actual receipt.
You agree that these Terms and any agreements formed under them may be signed and communicated electronically, and that electronic records satisfy any requirement for a writing under applicable law.
17. Miscellaneous
General Provisions
Entire agreement. These Terms, together with any Order Form, the Privacy Policy, and any applicable Data Processing Addendum, constitute the entire agreement between you and Zeal regarding the Service and supersede all prior agreements, representations, or understandings, whether written or oral, relating to the subject matter.
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.
Waiver. Failure by either party to enforce any provision of these Terms will not constitute a waiver of that party's right to enforce that or any other provision in the future. Waivers must be in writing to be effective.
Assignment. You may not assign these Terms or your rights under them without Zeal's prior written consent. Zeal may assign these Terms without your consent in connection with a merger, acquisition, reorganization, or sale of all or substantially all of Zeal's assets. Any attempted assignment in violation of this provision is void.
Force majeure. Neither party is liable for failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including natural disasters, government actions, labor disputes, pandemics, or Internet infrastructure failures. The affected party must promptly notify the other and use reasonable efforts to resume performance.
No third-party beneficiaries. These Terms do not create any rights in or for the benefit of any third party, except as expressly stated.
Relationship of parties. Zeal and you are independent contractors. These Terms do not create a partnership, joint venture, agency, employment, or franchise relationship.
Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
Language. These Terms are in English. Any translation is provided for convenience only. In the event of a conflict between the English version and a translation, the English version controls.
Export compliance. You may not use or export the Service in violation of U.S. export laws and regulations, including the Export Administration Regulations. You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. trade sanctions.
U.S. government users. The Service is commercial computer software. If used by or on behalf of a U.S. government entity, use, duplication, or disclosure is subject to restrictions applicable to commercial computer software under FAR 12.212 and DFARS 227.7202.
